Notice of liquidation – Blue Income Builder open-ended equity alternative investment fund with public offering

The company FARVE PRO INVEST d.o.o., Gradišćanska 34, Zagreb, (hereinafter: Company) on November 8, 2024, made a decision on the simultaneous initiation and completion of the liquidation procedure of the open-ended equity alternative investment fund with public offering Blue Income Builder, ISIN: HRHPREUFGIB2 , LEI: 74780050N31FQP4SJC94 (hereinafter: Fund).

Since the Fund had no assets and no investors for a period of more than 30 (thirty) days, the requirements of Article 3, paragraph 4 of the Ordinance on Liquidation and Extension of the AIF (Official Gazette 26/2019, hereinafter: Ordinance on Liquidation) have been met. on the basis of which the Company, as the manager of the Fund, is obliged to make a decision on liquidation without delay. As a result of the above, as well as the fact that the Company no longer intends to offer shares in the Fund, the Company made a decision on the simultaneous initiation and completion of the liquidation procedure on November 8, 2024. The above represents the so-called an abbreviated liquidation procedure that is initiated and closed on the same day and in which not all provisions of the Ordinance on liquidation are applied.

Given that there are no investors in the Fund on the date of the liquidation decision, the liquidation has no effect on the shares or investors. The company, as liquidator of the Fund, will not claim any compensation for conducting the liquidation procedure. By passing the aforementioned decision on liquidation, any further issuance, replacement or redemption of shares in the Fund is not possible.

In accordance with the provisions of Article 3, paragraph 3 of the Ordinance on the liquidation and termination of AIFs, the Company will deliver the notification on the simultaneous initiation and closure of the liquidation procedure to HANFA and the depositary, Hrvatska poštanska banka d.d., Jurišićeva ulica 4, Zagreb.
